13. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. You agree that any legal action or proceeding between you and GenCED shall be brought exclusively in the courts of Ghana, and you consent to the jurisdiction and venue of such courts.

14. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Waiver

No waiver by GenCED of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by GenCED to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and GenCED regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
